Welcome to the TSP Scale VIP Directory App ("the App"), operated by Tyler New Media LLC ("we," "us," "our"). By accessing or using the App, you agree to be bound by these Terms of Service ("Terms").

If you do not agree, do not use the App.

1. PURPOSE OF THE APP

The TSP Scale VIP Directory App provides authenticated users with access to a directory of entrepreneurs, businesses, and professional profiles submitted voluntarily by users.

The App is designed to facilitate networking, business exposure, and professional connections among TSP Scale participants.

The App is not intended for public distribution; only authenticated users may access directory content.

2. ELIGIBILITY

To use the App, you must:

• Have been granted access through valid user credentials
• Agree to comply with all App rules, privacy policies, and community standards

We may deny or revoke access at our discretion.

3. ACCOUNT ACCESS & SECURITY

You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

You agree to:

• Use accurate and truthful information
• Notify us immediately of unauthorized access or security concerns
• Not share or sell your login credentials

We reserve the right to suspend or terminate accounts for suspected misuse.

4. INFORMATION YOU SUBMIT

Users may submit information including:

• Name
• Business details
• Profile photo
• Banner image
• Descriptions and categories
• Contact information
• Location data
• Website or Google Maps links

By submitting this information, you grant Tyler New Media a non-exclusive, royalty-free license to:

• Display your profile in the App
• Use your data for internal analytics, app improvements, and directory management
• Communicate with you regarding your submission

You represent and warrant that:

• All information you submit is accurate
• You have the legal right to share it
• Your images and content do not violate copyright or any applicable law

We reserve the right to edit, refuse, or remove submissions at any time.

5. ACCEPTABLE USE & PROHIBITED CONDUCT

You agree not to misuse the App. Prohibited actions include but are not limited to:

5.1 Harassment & Misuse

• Harassing, threatening, or abusing users
• Sending spam, unsolicited marketing, or mass messages
• Using contact information for non-consensual outreach
• Stalking, doxxing, or inappropriate communication
• Bullying or discriminatory behavior

5.2 Data Misuse

• Scraping, copying, or exporting directory data
• Using automated tools or bots
• Creating databases or contact lists from the App without consent

5.3 Content Violations

• Uploading illegal, harmful, or defamatory content
• Using images you do not have the rights to
• Uploading malware or harmful files

5.4 Unauthorized Access

• Attempting to bypass authentication
• Reverse engineering or modifying the App
• Sharing login credentials

Any violation may result in immediate removal from the App and, if appropriate, legal action.

6. ADMINISTRATIVE RIGHTS

Administrators within the App may:

• Manage user profiles and submissions
• Approve, reject, or edit directory entries
• Add or remove users
• Adjust notification settings
• Remove individuals who violate policies

By using the App, you acknowledge that administrators may take actions necessary to maintain safety, accuracy, and compliance.

7. DIRECTORY CONTENT & USER INTERACTIONS

The App contains profiles submitted by users. We do not guarantee that:

• All information is accurate or up to date
• All businesses are legitimate
• Interactions between users will be safe or productive

Users are encouraged to exercise professional discretion.

We are not responsible for the conduct of users inside or outside the App.

8. INTELLECTUAL PROPERTY

All content within the App—including logos, branding, design elements, and software—is the property of Tyler New Media LLC and is protected by intellectual property laws.

Users may not:

• Copy or distribute App content
• Use our trademarks without written consent
• Reproduce or reverse-engineer any part of the App

Except for content you personally submit, no rights are granted to you.

9. THIRD-PARTY LINKS

Some profiles may contain:

• Social media links
• Google Maps URLs

These links direct you away from the App. We are not responsible for third-party privacy practices, terms, or content.

10. PRIVACY POLICY

11. TERMINATION

Upon termination:

• error-free functionality
• accuracy of directory data
• compatibility with every device

Use of the App is at your sole risk.

13. LIMITATION OF LIABILITY

Tyler New Media LLC, its employees, partners, and affiliates shall not be liable for:

• User misconduct or harassment
• Losses or damages arising from App use
• Data misuse by other users
• Errors in user-submitted information
• Interrupted or unavailable service

In no event shall our liability exceed the amount you have paid to use the App (typically $0).

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tyler New Media LLC from any claims, actions, damages, or losses arising from:

• Your use of the App
• Your violation of these Terms
• Your misuse of user information
• Your infringement of others' rights
